Terms of service
Last updated November 6, 2026
These terms are an agreement between LMS Solutions (“we”, “us”) and the organization that creates or uses a Shiftskill workspace (“you”, the “customer”). By creating a workspace, paying for a plan or using Shiftskill, you agree to them. If you accept these terms on behalf of an organization, you confirm that you have authority to bind it.
1. The service
Shiftskill lets you create training courses, assign them to people in your organization, track completion and issue certificates. We may improve or change features over time; we will not remove a core feature you are paying for during your paid term without telling you and offering a pro-rated refund.
2. Accounts and your people
- You are responsible for who you invite, for keeping sign-in details confidential and for activity in your workspace.
- You confirm that you have the right to give us your people's names and work emails and that you have told them how their training records are used, as privacy law requires.
- Tell us promptly at support@lmssolutions.ca if you suspect unauthorized access.
3. Acceptable use
You agree not to:
- use Shiftskill for anything unlawful, or upload content you don't have the right to use;
- put sensitive personal information (such as health, financial or government ID details) into courses or training records;
- send unsolicited email through the invite feature, or invite people outside your organization's training programme;
- probe, overload or interfere with the service, or try to access another customer's data;
- resell the service without a written agreement with us.
We may suspend a workspace that breaks these rules, after notice where that is reasonable.
4. Your content and data
You own your content and your training records. You give us permission to host, copy and process them only as needed to provide and support Shiftskill. You can export all of your data at any time. Our privacy policy explains how we handle personal information.
5. AI drafts and compliance templates
AI-drafted courses and the compliance templates are starting points. They can contain mistakes and are not legal advice. You are responsible for reviewing content before you publish it and for adapting templates to your own policies and to the requirements of your province or territory. Nothing is published until an admin approves it.
6. Plans, fees and refunds
- Founding customer plan: C$990 per year, prepaid by card, for up to 50 seats. Every member of the workspace uses one seat, whatever their role. The price is locked for three years from your first payment as long as you renew each year without a break (paying before your workspace is deleted under section 9 counts as no break); after that, renewal is at our then-current list price for a comparable plan, which we will tell you at least 60 days before. If you need more than 50 seats, we confirm with you first and bill each extra seat annually at the then-current Team plan rate, prorated to your renewal date, with no 20-seat minimum. Included: a kickoff where our designers help you design your first course; further course builds are C$500 per course. AI course drafting is not included.
- Money-back guarantee: if you are not satisfied, tell us within 30 days of your first payment and we will refund it in full.
- Renewal: for the founding plan, we will email you at least 30 days before your term ends, and it renews only once you pay for the next term; nothing renews or charges automatically. Self-serve Team and Business subscriptions, when offered, renew automatically until cancelled, as shown at checkout.
- Optional services, such as done-for-you course conversion, are quoted and invoiced separately.
- Prices are in Canadian dollars and exclude sales taxes. We are not yet registered for GST/HST, so none is charged. Once registration is required, we will register and add GST/HST and any other applicable sales tax to later invoices, with notice.
- Payment is by card through Stripe, which issues an invoice or receipt for each payment.
- Free trial: 14 days, free, with no credit card, for up to 10 seats, provided as is. Sample courses and people are included and don't use seats. AI course drafting is off during the trial, and certificates issued in a trial workspace say so. If you don't choose a paid plan by the end of the trial, the workspace becomes read-only and is deleted as described in section 9.
7. Availability and support
We work hard to keep Shiftskill available and back up your data every night, but during the pilot programme we do not offer a formal uptime commitment. We will give advance notice of planned maintenance when we can. Support is by email, and we aim to reply the same business day.
8. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for the purpose of this agreement.
9. Ending the agreement
You can stop using Shiftskill at any time. Either of us may end the agreement if the other seriously breaches it and does not fix the breach within 30 days of notice. When it ends, or a plan ends without renewal, your workspace stays available read-only for 30 days so you can export your data; we then delete it, and copies leave our backups within a further 35 days, as described in the privacy policy. Prepaid fees are not refunded after the money-back period, except where these terms or the law say otherwise.
10. Warranties and liability
Apart from what these terms expressly promise, Shiftskill is provided “as is”, without other warranties to the extent the law allows. Neither of us is liable for indirect or consequential losses, such as lost profits or lost data that could have been recovered from an export. Each party's total liability under this agreement is limited to the fees you paid us in the 12 months before the claim. For a breach of confidentiality or of our data-protection obligations, the limit is instead the greater of three times those fees or C$10,000. No limit applies to fraud, wilful misconduct, gross negligence, or liability that cannot be limited by law.
11. Changes to these terms
We may update these terms. For material changes we will email workspace owners at least 30 days in advance; if you do not agree, you may end the agreement and receive a pro-rated refund of prepaid fees for the unused term.
12. General
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and the courts in Toronto, Ontario have jurisdiction. If part of these terms is unenforceable, the rest still applies. A signed order or founding-customer agreement takes precedence over these terms where they conflict.
